Terms of Service

The contract between VA Arcus and clients. Plain language, lawyer-reviewed, no surprises.

01Agreement

By accessing or using arcus.vaarcus.com (the “Service”), you agree to these Terms. If you do not agree, do not use the Service. These Terms form a binding contract between you and VA Arcus, a digital engineering studio.

02The Service

Arcus Auditor provides automated digital audits, manual invoicing for engagement services, and related content. Free audits are provided as-is for informational purposes. Paid engagements are governed by a separately signed Statement of Work which prevails over these Terms where they conflict.

03Acceptable use

You agree not to:

  • Submit audit requests for domains you do not own or have written authorisation to evaluate.
  • Reverse-engineer, scrape, or attempt to extract our underlying scoring rubric at scale.
  • Misrepresent your identity, company, or jurisdiction when requesting an invoice.
  • Use the Service to violate any applicable law, regulation, or third-party right.

04Payment terms

Invoices are issued via Payoneer within 12 hours of a confirmed checkout request. Payment is due on receipt unless otherwise stated. Late payments accrue 1.5% interest per month, capped at the legal maximum in your jurisdiction.

All amounts are in USD unless explicitly noted.

05Intellectual property

On full payment of an engagement invoice, all custom code, designs, and creative deliverables we produce for you are assigned to you. We retain rights to our pre-existing tooling, frameworks, and reusable internal libraries.

We may publish anonymised, aggregated metrics about engagements (e.g., “47% average uplift across the Q1 cohort”) — never identifiable client data without your written consent.

06Warranties & disclaimers

Audit output is informational and produced by an AI model. While we calibrate carefully, scores are directional, not certified. We disclaim implied warranties of merchantability and fitness for a particular purpose to the maximum extent permitted by law.

07Limitation of liability

To the maximum extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to fees you paid us in the 12 months preceding the claim. We are not liable for indirect, consequential, or punitive damages.

08Termination

You may stop using the Service at any time. We may suspend or terminate access for breach of these Terms, for unpaid invoices, or for activity that places the Service or other users at risk. Provisions that by their nature should survive termination (IP, payment owed, liability caps) do.

09Governing law

These Terms are governed by the laws of the United Arab Emirates without regard to conflict-of-laws principles. Disputes are subject to the exclusive jurisdiction of the Dubai courts, with carve-out for parties in jurisdictions requiring local consumer protection.
